1. Acceptance of Terms
By creating an account on the RX Platform (the "Platform"), operated by [PLACEHOLDER: Legal Entity Name] ("Company", "we", "us"), you ("Vendor", "you") agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.
2. Description of Service
The Platform provides:

3. Account Registration
You must provide accurate, current, and complete information at signup, including a valid email address, password, and practice display name. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
4. Use Rights and Restrictions
Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable license to access and use the Platform for the purpose of operating your healthcare practice.
You may NOT:
- Sublicense, sell, or transfer your Platform access to any third
- Use the Platform to dispense, ship, or fulfill medications outside
- Use AI-generated content in a way that misrepresents your
- Attempt to reverse-engineer, decompile, or extract source code

5. Intellectual Property
The Platform's source code, design, AI prompts, branding, and underlying infrastructure remain the property of the Company. You retain ownership of your practice content (business description, logo, product selections, pricing) and grant the Company a non-exclusive license to host, display, and process that content for the purpose of operating your storefront.
AI-generated content (storefront copy, layout, etc.) is provided under the same usage rights as the rest of the Platform; you may use it freely on your storefront but may not redistribute it as a standalone product.
6. Termination
Either party may terminate this agreement at any time. The Company may suspend or terminate your access immediately if:
- You violate these Terms.
- Your account becomes delinquent on billing for more than 14 days.
- You lose the regulatory authorizations required for your practice.
- We are legally required to do so.
On termination, your public storefront will remain deployed for a [PLACEHOLDER: grace period, e.g., 30 days] wind-down window after which it is removed.
7. Limitations of Liability
THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU HAVE PAID TO THE COMPANY IN THE PRECEDING 12 MONTHS, OR (B) [PLACEHOLDER: USD amount].
